Digital Licensing Agreement/Terms and Conditions:

1. Introduction

This Digital Licensing Agreement is entered into between Enchanted Ink Letters and Keepsake, with its principal place of business at enchantedinkletters.com.au, and the Licensee identified at the time of purchase. By purchasing and using the digital product, the Licensee agrees to adhere to the terms and conditions outlined in this Agreement.

2. License Grant

Subject to the terms of this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable, and non-sublicensable license to use the Product solely for educational purposes within a single classroom setting. The use of this Product is restricted to the classroom taught at the time of purchase.

3. Restrictions

Licensee shall not:

• Resell, distribute, or otherwise transfer the Product to any other individual, institution, or third party.
• Use the Product in more than one classroom or for any commercial purposes.
• Modify, adapt, or create derivative works based on the Product without prior written consent from the Licensor.

4. Intellectual Property Rights

The Licensor retains all rights, title, and interest in and to the Product, including any and all intellectual property rights. This Agreement does not grant the Licensee any ownership rights to the Product. 

5. Term and Termination

This Agreement is effective upon purchase and will remain in effect until terminated. The Licensor may terminate this Agreement immediately if the Licensee breaches any term of this Agreement. Upon termination, the Licensee must cease all use of the Product and destroy any copies in their possession.

6. Limitation of Liability

In no event shall the Licensor be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Product, even if advised of the possibility of such damages.

7. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

By purchasing and using the Product, the Licensee acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
